Terms of Use

1. Acceptance of These Terms

These Terms of Use ("Terms") govern access to and use of Gatekeeper, provided by The Zen India Therapeutics Private Limited (CIN U62013DL2024PTC429803, "The Zen India," "we," "us," "our"). By registering as a Provider or Facility, you accept these Terms and our Gatekeeper Privacy Policy. If you do not agree, do not use Gatekeeper.

2. What Gatekeeper Is

Gatekeeper is a practice-management and AI-assisted toolkit for mental health practitioners and facilities: client records, curated clinical resources, scheduling, practitioner collaboration/network features, and practice insights. Gatekeeper is a technology platform. We are not a healthcare provider, do not practice medicine or therapy, and do not supervise or direct your clinical work.

3. Eligibility and Professional Representations

You represent and warrant, as applicable to your profession:

• Psychiatrists and other medical practitioners: you hold current registration with the National Medical Commission or the relevant State Medical Council, and — for any teleconsultation conducted through or alongside Gatekeeper — you comply with the Telemedicine Practice Guidelines, 2020 and the Telepsychiatry Operational Guidelines.
• Clinical psychologists: you hold current registration under the Rehabilitation Council of India Act, 1992, or the equivalent recognized body for your specific designation.
• Counsellors, psychotherapists, and other practitioners without a central statutory licensing body in India: you hold the qualifications, certifications, or memberships customarily recognized by professional bodies in your discipline, and you will not represent yourself as "licensed" in a manner your profession's regulatory status does not support.
• Facilities: you are duly registered/incorporated as required for your form of business and clinical operation in your jurisdiction, and any practitioner you add to Gatekeeper independently meets the representations above.

You will notify us promptly if any registration, certification, or membership referenced above is suspended, revoked, or lapses, and you remain solely responsible for practicing within the scope your qualifications permit.

4. Account Registration and Verification

We may verify credentials you submit against issuing bodies or public registers. Verification, where performed, checks that submitted credentials exist and match your registration — it is not a warranty by us of your clinical competence, and does not make us liable for your professional conduct. You are responsible for keeping your account credentials confidential and for all activity under your account.

5. Client Data and Your Independent Obligations

• You remain the treating practitioner and the Data Fiduciary for Client Data you enter into Gatekeeper (see Privacy Policy Section 6); Gatekeeper is a tool, not a substitute for your own record-keeping and confidentiality obligations under the Mental Healthcare Act, 2017 (including Section 23) and any professional code of conduct that applies to you.
• You are solely responsible for obtaining informed consent from your clients, including specific consent for telemedicine/telehealth consultations where applicable, and for complying with the Telemedicine Practice Guidelines, 2020 / Telepsychiatry Operational Guidelines if you conduct remote consultations.
• You must not upload Client Data you are not authorized to hold, or that violates a client's rights or applicable law.

6. Facilities

If you register a Facility, you are responsible for the conduct of practitioners and staff you add under that Facility's account, for ensuring they meet Section 3's representations, and for your Facility's own registration and compliance obligations under applicable law.

7. Fees and Subscription

• Certain Gatekeeper features require a paid subscription, billed directly through our payment processor, Razorpay.
• Subscriptions renew automatically for the same term unless cancelled before the renewal date.
• Fees are non-refundable, including for partial billing periods. You may cancel at any time to stop future renewals; cancellation does not entitle you to a refund for the current period.
• We may change prices on notice; changes apply to future billing cycles only.

8. License to Use Gatekeeper

We grant you a limited, non-exclusive, non-transferable, revocable license to use Gatekeeper for your professional practice. You may not reverse engineer, scrape, resell access, or circumvent security controls.

9. Acceptable Use

You agree not to misrepresent your qualifications, upload unlawful or infringing content, interfere with the platform's operation, or attempt unauthorized access to other accounts or Client Data not your own.

10. Intellectual Property

Gatekeeper's software, design, curated clinical resources, and trademarks belong to The Zen India Therapeutics Private Limited or its licensors. Nothing here transfers ownership of these to you. You retain ownership of Client Data and content you input, subject to the license you grant us to host and process it to operate Gatekeeper.

11. Visibility as a Sleepy Orange Expert

If a client of yours uses Sleepy Orange, your professional profile and assigned care-plan tasks are visible to them there — see Privacy Policy Section 7.3 for the data flows involved. This connection does not create an employment, agency, or partnership relationship between you and us; you remain an independent practitioner responsible for the care you provide.

12. No Partnership, Agency, or Employment Relationship

To state plainly what Section 11 and your professional representations (Section 3) already imply: nothing in these Terms makes you an employee, agent, partner, or joint venturer of ours, or makes us an employee, agent, or partner of yours. You do not have authority to bind us to any obligation, and we do not direct, supervise, or take responsibility for your clinical work. This is a standalone clause, not folded into another section, because it's the kind of thing that matters most when it's easy to point to on its own.

13. Disclaimers

GATEKEEPER IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT GATEKEEPER WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, AND WE DO NOT WARRANT THE CLINICAL APPROPRIATENESS OF ANY RESOURCES OR AI-ASSISTED FEATURES WE PROVIDE — YOUR OWN CLINICAL JUDGMENT GOVERNS THEIR USE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF GATEKEEPER. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING A CLAIM. NOTHING HERE LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

15. Indemnification

You agree to indemnify us against claims arising from: (a) your breach of these Terms; (b) the clinical or professional services you render to your clients; (c) misrepresentation of your credentials; or (d) Client Data you upload. This allocation reflects that clinical liability sits with the treating practitioner, not the platform — have counsel confirm the scope matches your risk appetite and insurance coverage.

16. Termination

You may close your account at any time. We may suspend or terminate access if we reasonably believe you've violated these Terms, misrepresented your credentials, or where required by law. On termination, you retain the ability to export Client Data for 30 days before deletion, consistent with your own record-keeping duties to former clients.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, and the courts at Delhi have exclusive jurisdiction over any dispute arising from them.

18. Miscellaneous

• Entire agreement: these Terms and the Gatekeeper Privacy Policy are the entire agreement between you and us for Gatekeeper.
• Severability, no waiver, and assignment provisions apply as is standard.
• We may provide notices via the app or your account email.
